1. Introduction and Agreement
This document outlines the Terms and Conditions (“Terms”) governing all services provided by Sotavento Medios (“Agency,” “we,” “us,” or “our”). By engaging our services, paying an invoice, or signing a Service Agreement, the Client (“you”) acknowledges that you have read, understood, and agreed to be bound by these Terms.
- Right to Update: Sotavento Medios reserves the right to update or modify these Terms at any time without prior individual notice.
- Client Due Diligence: It is the Client’s sole responsibility to perform due diligence and check this page regularly for updates. Your continued use of our services after any changes constitutes acceptance of the new Terms.
2. Expanded Scope of Services
We provide a diverse range of digital growth and infrastructure services, including:
3. Search Engine Marketing (SEM) Protocols
- Management via MCC: All SEM and Google Ads campaigns are managed through the Sotavento Medios My Client Centre (MCC) account.
- Access Policy: To protect proprietary optimization strategies and account security, no direct access to the Ads account or MCC will be granted to the Client.
- Invoicing & Transparency: All SEM billing will be issued on Sotavento Medios letterhead.
- Taxes & Fees: All SEM invoices will include the applicable GST (Goods and Services Tax) as charged by Google. The Client is responsible for paying the gross amount, including GST and management fees.
4. Payment Terms and Financial Penalties
- Currency: All financial transactions are in Singapore Dollars (SGD).
- Payment Due Date: Full payment is due within 7 days of the invoice date.
- Late Fee Grace Period: A late payment fee of 15% of the total outstanding amount will be applied if the payment remains unsettled 14 days after the original due date.
- Administrative Fees: A $50.00 reminder fee will be applied to each follow-up notice sent regarding overdue payments.
- No-Refund Policy: We maintain a strict no-refund policy. Any unused credit on an account may be applied to other Sotavento Medios services at our discretion but cannot be cashed out.
5. Infrastructure and Maintenance (Hosting, CDN, & Website)
- Web Hosting & CDN: We provide high-performance infrastructure via third-party providers. While we aim for maximum uptime, we are not liable for losses resulting from server outages, CDN failures, or global network disruptions.
- Website Maintenance: Maintenance services include security patches and performance checks. Content updates outside the “Scale Smart” or “Maintenance” scope will incur additional charges.
- Resource Overages: We reserve the right to invoice for additional bandwidth or storage if your site exceeds its plan limits.
6. Project Momentum and Termination
- Project Stalling: If a project is delayed by the Client for more than 30 days (e.g., failure to provide content or approvals), we reserve the right to terminate the contract and retain all paid fees.
- Inactivity: Projects inactive for 60 days due to Client non-responsiveness will be closed, and the full remaining contract balance will become immediately due.
- Termination Notice: * SEO: 60 days written notice required.
- SMM / SEM / Scale Smart: 30 days written notice required.
- Hosting: 30 days notice prior to renewal date.
7. Intellectual Property (IP)
- Code Ownership: Sotavento Medios retains all intellectual property rights to developed website code, proprietary scripts, and custom configurations unless a transfer of ownership is explicitly signed in a separate agreement.
- Client Assets: You retain ownership of all logos and trademarks provided to us. You grant us a limited license to use these for the fulfillment of your project.
8. Limitation of Liability and Indemnity
- No Guarantees: While we utilize expert-level SEO and AEO strategies, we cannot guarantee specific search engine rankings or sales volumes.
- Liability Cap: Our total liability for any claim shall not exceed the total amount paid by the Client to us during the three (3) months immediately preceding the claim.
- Indemnification: The Client agrees to indemnify Sotavento Medios against any legal actions resulting from content provided by the Client that violates copyright or local laws.
9. Force Majeure
Sotavento Medios is not liable for service disruptions caused by “Acts of God,” war, government intervention, strikes, or catastrophic failure of the internet infrastructure.
10. Governing Law
These Terms are governed by the Laws of the Republic of Singapore. Any disputes shall be settled exclusively in the Courts of Singapore.
